1. Definitions
In these Terms and Conditions, the following terms have the meanings given below:
- "Delima", "we", "us", "our" refers to Delima Business Consulting, registered in Malaysia and operating from No. 7, Jalan Maarof, 59000 Kuala Lumpur.
- "Client", "you", "your" refers to the individual or business entity that engages our services or uses our website.
- "Services" refers to the consulting engagements offered by Delima, including Calm Numbers, Quiet Books Review, and Steady Ledger Partnership.
- "Agreement" refers to these Terms and Conditions together with any engagement letter or service confirmation issued to you.
- "Website" refers to the site operated by Delima at delimamy.sbs.
2. Acceptance of Terms
By using our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, you should not use our website or engage our services.
You confirm that you are at least 18 years of age and have full legal capacity to enter into a binding agreement. Where you are acting on behalf of a business, you confirm you have authority to bind that business.
3. Description of Services
Delima provides business consulting services to small business owners in Malaysia. Our current service offerings are:
- Calm Numbers — A single engagement to organise financial records and explain them plainly. Price: RM 700.
- Quiet Books Review — A five-week engagement reviewing costs, pricing, and cash flow with written recommendations. Price: RM 1,950.
- Steady Ledger Partnership — A six-month advisory relationship including monthly sessions and quarterly reviews. Price: RM 3,400.
Services are delivered primarily in Kuala Lumpur and the Klang Valley. We may accommodate clients elsewhere in Malaysia at our discretion.
4. Client Responsibilities
To enable us to carry out our services effectively, you agree to:
- Provide accurate and complete information and records as reasonably requested
- Attend scheduled sessions as agreed, or provide reasonable notice if you need to reschedule
- Use the website only for lawful purposes and not in any way that disrupts or harms others
- Not misrepresent your identity or business circumstances to us
- Keep any login credentials (if applicable) secure and confidential
5. Intellectual Property
All content on our website, including text, design, and structure, is owned by or licensed to Delima and is protected under applicable Malaysian intellectual property law. You may not reproduce, distribute, or create derivative works from any part of our website without our prior written consent.
Written reports and recommendation documents produced specifically for your engagement are provided for your personal business use only. They may not be shared commercially or published without our permission.
6. Payment Terms
All prices are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes where stated. Payment terms for each service will be specified in the engagement letter provided before work begins.
We typically require a 50% deposit before work commences and the remainder upon delivery of the final output or at a point specified in the engagement letter.
Cancellations and refunds: If you cancel an engagement before it begins, the deposit may be retained to cover preparatory work already completed. Where an engagement has partially commenced, fees will be assessed proportionally. We will handle each case fairly and discuss the position with you directly.
Accepted payment methods include bank transfer (FPX), cheque, and other methods agreed in writing.
7. Service Delivery
We will carry out our services with reasonable skill and care. The scope of each engagement is defined in a written engagement confirmation issued before work begins. Any changes to the agreed scope must be agreed in writing by both parties.
Timelines stated in engagement letters are estimates and may be subject to change if information required from you is delayed. We will communicate any delays promptly.
We treat all information shared with us during an engagement as confidential. We will not disclose your business information to third parties except where required by law.
8. Disclaimers
Our services are advisory in nature. While we aim to provide accurate, well-considered recommendations, we cannot and do not represent that following our advice will produce any particular financial outcome for your business. Business performance depends on many factors outside our control.
Our services do not constitute statutory audit, tax advice, legal advice, or regulated financial advice. Where such specialist advice is needed, we will say so and recommend that you seek it independently.
Our website is provided on an "as is" basis. We make no warranties as to its availability, accuracy, or fitness for any particular purpose.
9. Limitation of Liability
To the extent permitted by Malaysian law, Delima's total liability to you arising from or in connection with our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
We shall not be liable for any indirect, consequential, or economic loss, lost profits, or loss of business opportunity, even if we were aware of the possibility of such loss.
Nothing in these terms limits our liability for death, personal injury, fraud, or any other matter that cannot be limited by law.
10. Indemnification
You agree to indemnify and hold Delima harmless from any claims, losses, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website, or any false or misleading information you provide to us.
11. Termination
Either party may terminate an engagement by giving written notice. Where you terminate an engagement that has commenced, fees will be assessed for work completed to the point of termination. We will communicate the position clearly before issuing a final invoice.
We reserve the right to suspend or terminate our services if we have reasonable grounds to believe you have provided false information or are using our services in a way that is unlawful or harmful.
12. Dispute Resolution and Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms or from our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. General Provisions
- Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between us for the services described.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not transfer your rights under these Terms without our prior written consent. We may transfer our obligations to another entity provided your rights are not adversely affected.
14. Changes to These Terms
We may update these Terms from time to time. The most recent version will always be available on our website. Where changes are material, we will update the "Last Updated" date. Continued use of our website after updates are published constitutes acceptance of the revised Terms.
